    • Formed and built the practice from the ground up. Supported high technology companies - primarily in business law, corporate and transactional matters. The firm's ongoing client base included 22 corporations and 3 LLCs at the time of merger with Scharff & Associates, covering the spectrum from services providers, hardware manufacturers, software companies, biotech companies and consulting firms.

  • General Counsel and Corporate Secretary

      • First in-house attorney in company’s history. Part of team assembled to manage explosive growth for pre-public, Internet infrastructure services provider to businesses in the US and Europe to such industry leaders such as Microsoft, Intel, Symantec, Oracle and IBM.
      • Managed Legal Department providing broad spectrum of legal services and advice.
      • Developed, implemented and manage integrated intellectual property strategy to stimulate creation and optimize the protection and value of intellectual property important to the business.
      •  Advised and assisted internal clientele in creating, protecting and commercializing intellectual property to optimize its value in alignment with the company’s strategies and goals.
      • Conducted comprehensive review and drafted all of the company’s format and custom agreements, including domestic and international reseller, intercompany agreements, services agreements, technology license, OEM, sales representative, referral, hosting services, connectivity, peering, consulting services agreements, and others.
      • Actively managed disputes, litigation and specialized matters.
      • Negotiated Series A financing documents with investors, which included Summit Partners, Morgan Stanley Dean Witter Funding, Inc. and Seagate Technology Investments, Inc.
      • Board meeting management: called meetings, drafted agenda, prepared board materials, presented information, advised the Board, took minutes, and managed corporate records.
      • Handled the company’s first M&A transaction to acquire Netherlands-based SpeedPort B.V. for expansion into Europe in August 2000. Managed all legal matters in Europe and the U.S.
      • Provided legal services and advice for commercial and corporate matters (e.g., press releases, advertising, securities - compliance and filings, corporate governance, policies, etc.).
      • Negotiated agreements with customers, technology partners, affiliates, resellers, agents, contractors, service providers, bankers (credit lines), landlords, and others, including complex customer and alliance agreements with Microsoft, Oracle, Symantec, Intel, IBM, LSI Logic, USA Today and other notable companies.
      • Handled employment law matters, agreements and issues.
      • Developed and implemented various company policies and procedures addressing topics such as electronic media usage, harassment, equal employment, alcohol and drug usage, workplace violence and the like.
      • Managed the stock option administration function for the company’s stock option plans, and created new plans for European subsidiary (UK, The Netherlands, Belgium and France).

  • General Counsel & Corporate Counsel

      • Managed Legal Department providing legal services for publicly traded internet and telephony appliance products and services company (then ~$160MM annual sales).
      • Provided services and advice for commercial and corporate matters (e.g., press releases, advertising review, SEC compliance and filings, import/export, corporate governance, etc.).
      • Developed, implemented and managed integrated intellectual property (IP) strategy to stimulate creation and optimize the protection and value of IP important to the business.
      • Drafted the company’s format agreements, including technology development and license agreements, domestic and international distribution and reseller agreements, sales rep. agreements, consulting and manufacturing services agreements and employee agreements.
      • Negotiated agreements with customers, technology partners, OEMs, bankers and others.
      • Actively managed disputes, litigation and specialized matters.
      • Handled employment law matters, agreements and issues.
      • Developed licensing program and implemented and administered key policies and procedures.
      • Performed corporate secretary duties, championed Y2K project and sat on the 401(k) committee.

      • Advised, counseled and assisted high technology clientele in protecting and commercializing primarily software and hardware-based products, technology and intellectual property.
      • Drafted and negotiated a wide variety of technology licenses and many other agreements, including distribution, development, and design services agreements.
      • Managed large due diligence intellectual property review in acquisition of Visigenix by Borland.
      • 70% technology licensing/contract negotiation; 30% IP and business counseling.

  • Intellectual Property Attorney

      • Provided legal services to internal clientele in creating, protecting and commercializing software and hardware-based products, technology and associated intellectual property.
      • Assisted senior management, project managers, negotiators and inventors, handled patent, copyright and trade secret matters and dealt with infringement claims.
      • Managed the trademark portfolio, registered domain names and handled Internet issues.
      • Drafted and negotiated a wide variety of technology licenses, collaboration and other agreements.
      • Developed, implemented and administered intellectual property policies.
      • Managed large due diligence review of all intellectual property and related contracts (7,500 agreements) and developed company intellectual property database and commercial use plan.

      • Managed Contracts Negotiation team and worked closely with inside and outside counsel on project and IP issues and disputes. Routinely handled complex and high profile negotiations.
      • Supporting officers and project personnel, drafted, negotiated and administered contracts for Research Development and commercial projects and collaborations.
